VSN Networks Service Agreement & Order Terms

These terms document the standard responsibilities, payment model, acceptable use, scope controls, ownership, and cancellation expectations for VSN Networks orders.

1. Order and scope

The selected plan, term, included services, price, submitted project information, and any written approved changes form the order scope.

Requests outside the selected plan, included allowance, or written scope require a separate quote or approved change before work begins.

2. Payment and service term

Payment is processed securely by Stripe. Website projects are charged as one-time projects unless stated otherwise. Hosting and website-care plans selected as monthly or annual subscriptions renew automatically at the selected interval until canceled. Other services remain prepaid or one-time unless the order states otherwise.

The price shown in the order is fixed for the current paid billing period. VSN Networks may change the price for a later renewal by providing at least 30 days advance written notice that states the new price and effective renewal date. A price increase does not apply during a paid term, and the client may cancel before the affected renewal, subject to applicable law and any more protective written term.

The client authorizes Stripe to charge the saved payment method for each subscription renewal. The client can update payment details, view invoices, or request cancellation through the Stripe-hosted Customer Portal. A cancellation is normally effective at the end of the then-current paid billing period unless a written order or applicable law requires otherwise.

A failed renewal enters a recovery and grace process. VSN may pause new maintenance work during a delinquency, but a failed charge does not authorize immediate deletion or automatic shutdown of the website. Continued non-payment is reviewed before suspension, retention, handover, or termination action.

3. Client responsibilities

The client provides accurate business information, lawful content, timely approvals, required account access, and a reliable contact email.

The client remains responsible for legal, regulatory, accessibility, privacy, professional, and industry-specific review of their business content and practices.

4. Domains and third-party services

Custom domains should be registered in the client’s name. Domain registration, renewal, business email, advertising spend, paid assets, and third-party tools are separate unless expressly included in writing.

Third-party availability, policies, limits, and price changes are outside VSN Networks control. Existing DNS email records must be identified before domain changes are made.

5. Content, platform, and ownership

The client retains ownership of content and brand assets they supply and confirms that they have permission to use them.

Reusable platform code, templates, modules, processes, and improvements remain VSN Networks property unless a separate written assignment says otherwise. Client portability and source-code rights follow the selected plan and written order.

6. Reviews, delays, and changes

Timelines depend on complete information, access, content, and approvals. A project may be paused while waiting for the client, a third party, or an approved out-of-scope decision.

Approvals and material scope changes should be recorded in writing through the application or email.

7. Cancellation and handover

Prepaid or subscription service remains available through the paid term unless ended for a serious security or terms violation. Canceling automatic renewal prevents the next renewal charge but does not normally create a refund for the current paid period.

After failed-payment notices and the stated grace period, VSN may pause maintenance and place hosting into manual review. Any website suspension, backup-retention deadline, deletion, or handover step requires notice and an operational review; it is not triggered solely by the first failed payment.

Refunds, early cancellation, migration, source-code delivery, and handover work follow the selected plan and any additional written agreement. Third-party and domain charges are governed by their providers.

8. Acceptable use, suspension, and termination

The client must not use the services or any website hosted or managed by VSN Networks for unlawful, fraudulent, abusive, infringing, deceptive, or harmful activity. Prohibited activity includes phishing, malware, unauthorized access, spam, unlawful content or transactions, intellectual-property infringement, and conduct that threatens the security, availability, reputation, or lawful operation of VSN Networks, its clients, third parties, or upstream service providers.

VSN may investigate a suspected violation. When circumstances reasonably permit, VSN will notify the client and provide a reasonable opportunity to correct it. VSN may immediately restrict or suspend an affected service when reasonably necessary to prevent continuing harm, protect systems or third parties, comply with law or a valid legal request, or protect an upstream hosting, domain, email, or payment-provider account.

VSN may terminate services for a confirmed material violation, repeated violations, failure to correct a violation within the stated period, or when continued service is prohibited by law or an upstream provider. An allegation alone does not establish a violation, but VSN may take proportionate temporary protective action while investigating credible risk.

Technical suspension or termination of website access is separate from Stripe billing. VSN will arrange cancellation of future automatic renewals when service is terminated, but that billing action and any approved refund may require separate administrative processing and may not occur at the same moment as an urgent suspension.

Fees for service already provided and non-refundable third-party costs remain payable. If termination results from the client’s confirmed material or deliberate violation, unused prepaid fees are non-refundable to the extent permitted by applicable law. If VSN terminates without a client breach, VSN will provide any refund required by applicable law or the written order and may provide a reasonable prorated refund of unused service fees, excluding non-refundable third-party costs. No refund is automatic merely because access is temporarily restricted during an investigation.

Where legally and technically possible, VSN may provide a reasonable opportunity to retrieve lawful client content. Access may be limited or denied when preservation, disclosure, removal, or deletion is required by law, necessary for security, or required by an upstream provider.

9. Promotions and complimentary template launches

A complimentary template launch is included when the order combines a supported VSN template with annual Secure Hosting, Website Care, or Managed Website and the stated 12-month initial commitment.

The promotion waives only the supported base-template build fee. Custom domains, business email, paid tools, premium assets, custom integrations, regulated-content review, and work outside the supported template scope remain separate.

VSN provisions the selected base template and secure administrator access. The client supplies and maintains most website content through the website administrator page unless content work is expressly included in the selected plan or a written change.

Requested subdomains, custom-domain connection, template availability, security, and launch readiness remain subject to technical validation. If the selected path cannot be delivered, VSN will discuss an alternative or refund before beginning a materially different scope.

10. Complete record

The stored agreement version, order snapshot, acceptance time, and later written approved changes form the operational record for the order.

If a custom written proposal conflicts with these standard terms, the specifically agreed custom term controls for that order.
